General Conditions of Sale and Use — MyJely.com

These General Terms and Conditions of Sale (hereinafter referred to as "GTC") are concluded between MyJely, a Wyoming limited liability company, and any person who has visited and/or made a purchase on the website www.MyJely.com, hereinafter referred to as "the User". Any purchase or visit to the website www.MyJely.com (hereinafter the "Site") automatically entails acceptance of all of these conditions.

PRELIMINARY ARTICLE — DEFINITIONS

Customer: any user of the Site who has a customer account on the Site and/or who makes a purchase of a Product through the Site. Each Customer is a User of the Site.

Order: a process by which the Customer chooses the Products they wish to purchase on the Site. This Order is finalized when the Customer has chosen the products they wish to have delivered, as well as the delivery options, and when they have finalized payment for these products.

Product: means any product that can be viewed or purchased on the Site by a User.

User: any person who accesses the Site, regardless of whether they are a Customer or not.

Website: www.MyJely.com and all related website pages.

ARTICLE 1 – PURPOSE AND SCOPE OF APPLICATION

  1. The purpose of these General Terms and Conditions is to define the conditions under which Users may access or use the Site.

  2. The parties are bound by all terms, conditions and policies described herein, as well as by those additional terms and conditions referred to in these GTC.

  3. When visiting any part of this Site and/or purchasing a Product, each User undertakes, without restriction or reservation, to comply with these General Terms and Conditions.

  4. These General Terms and Conditions are presented to Users for acceptance prior to any Order on the Site.

  5. Any new tools, features, Products, or services added after the date of publication of these GTC will also be subject to these GTC.

ARTICLE 2 – CURRENT VERSION OF THE GTC

  1. The version of the GTC that prevails is the latest version available on the Site.

  2. MyJely is free to update, change or replace any part of these GTC at any time and without notice. When finalizing a new Order, the Customer accepts the GTC in effect on the date of said Order. It is the responsibility of each User to regularly consult the updates of these GTC at: https://MyJely.com/policies/terms-of-sale

  3. Access by the User to the Site and/or use of any function of this Site after the publication of any modification to these GTC constitutes acceptance of the updated GTC. If a User refuses the GTC or their subsequent modifications, it is the User's responsibility to refrain from any use of the Site.

ARTICLE 3 – CONDITIONS OF USE OF THE SITE

  1. The Site is hosted on Shopify, provider of the digital e-commerce platform which allows MyJely to present and sell its Products and services.

  2. By accepting these GTC, the User expressly declares that they have reached the age of majority in their state or country of residence, and that they have given consent to allow any minor to use the Site at their expense.

  3. If the User is a legal entity, it must be duly represented, under the conditions provided for by applicable law.

  4. The User undertakes not to use the Products or services of this Site for any illegal or unauthorized purpose.

  5. The User undertakes not to jeopardize the proper functioning of the Site by using computer means such as worms, viruses or any other code or process harmful to the Site.

  6. The Site service, its operation, and any part or content thereof may be interrupted at any time by MyJely without prior notice. MyJely is not responsible for any suspension or interruption of the service.

ARTICLE 4 – GENERAL CONDITIONS

  1. MyJely reserves the right to refuse service to anyone for any reason at any time, and to limit sales of Products or Services in any geographic region or jurisdiction.

  2. MyJely reserves the right to limit the quantities of any Product or service it offers.

  3. The User acknowledges and accepts that all Product descriptions and prices may be modified at any time and without notice, at the sole discretion of MyJely.

  4. MyJely reserves the right to discontinue offering a Product at any time without notice.

  5. MyJely acknowledges that any offer of Product or service presented on its Site is void where prohibited by law.

ARTICLE 5 – PRICE

  1. The User acknowledges and accepts that the price of the Products may be modified without notice, including due to variations in raw material costs, logistics costs, or any other reason. MyJely is not responsible for the consequences of such modifications.

  2. The prices of the Products applied to the Customer correspond to those displayed on the Site at the time of the Order.

  3. The prices of the Products are displayed in US dollars (USD), inclusive of applicable taxes.

ARTICLE 6 – PRESENTATION OF ARTICLES

  1. The User is informed that photographs of the Products are present on the Site and provide as accurate a display as possible of the Products' appearance.

  2. The User acknowledges that MyJely cannot guarantee that the Products will be exactly identical to the photographs, due to technical constraints of digital display and differences between Users' electronic devices.

  3. The User acknowledges and accepts that MyJely does not guarantee that the quality of all Products, services, or information will meet the User's expectations, nor that any error in the service or operation of the Site will be immediately corrected.

  4. The User acknowledges and accepts that the Site may contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, shipping charges, delivery times and availability. MyJely reserves the right to correct any such errors at any time and without prior notice, including after an Order has been placed.

  5. The User acknowledges and agrees that MyJely is under no obligation to update, amend or clarify information on the Site unless required by law.

ARTICLE 7 – OPTIONAL TOOLS

  1. MyJely may provide access to third-party tools over which it exercises no monitoring, control or influence.

  2. The User acknowledges and agrees that MyJely provides access to such tools "as is" and "as available", without any warranties or representations of any kind.

  3. The User acknowledges and accepts that use of optional tools on the Site is at the User's own risk. MyJely recommends that the User consult the terms and conditions of these tools from the relevant third-party provider(s).

  4. MyJely is not liable for any damages resulting from or linked to the use of these optional third-party tools.

ARTICLE 8 – THIRD-PARTY LINKS

  1. The User acknowledges that certain content, Products and services available through the Site may include elements from third parties.

  2. Third-party links on this Site may redirect the User to external websites that are not affiliated with MyJely. MyJely is not responsible for the content or accuracy of these sites and assumes no liability for any content, products, services or other materials accessible from these third-party sites.

  3. MyJely is not liable for any harm or damages related to the purchase or use of goods, services, or resources made in connection with any third-party websites.

  4. MyJely advises the User to carefully read and understand the policies and practices of third parties before engaging in any transaction.

ARTICLE 9 – USER COMMENTS, SUGGESTIONS AND OTHER SUBMISSIONS

  1. By submitting content, ideas, suggestions, or proposals to MyJely — whether online, by email, or any other means — the User grants MyJely the right, at any time and without restriction, to edit, copy, publish, distribute, translate and otherwise use such content in any media.

  2. MyJely is not required to maintain the confidentiality of such submissions, pay any compensation for them, or respond to them.

  3. MyJely has the authority, but no obligation, to monitor, edit or remove content it deems unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable.

  4. The User agrees to write comments that do not violate the rights of third parties, including copyright, trademarks, or other personal or proprietary rights.

  5. The User agrees to communicate with MyJely using their real identity and a valid email address.

  6. The User acknowledges that they are entirely responsible for all content they submit. MyJely assumes no responsibility or liability in this regard.

ARTICLE 10 – PERSONAL INFORMATION

The submission of the User's personal information is governed by the MyJely Privacy Policy, which can be viewed at: https://MyJely.com/pages/privacy-policy

ARTICLE 11 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

  1. The Customer agrees to provide accurate, complete, and up-to-date Order and account information for all Orders placed on the Site.

  2. The Customer agrees to keep account information up to date, including email address and payment details. MyJely cannot be held liable for issues resulting from inaccurate information provided by the Customer.

  3. MyJely reserves the right to limit or prohibit Orders that, in its sole judgment, appear to be placed by dealers, resellers or distributors.

ARTICLE 12 – PROHIBITED USES

The User agrees not to use the Site or its content for illegal purposes, to incite illegal acts, to infringe intellectual property rights, to submit false or defamatory information, to collect personal information of others, to spam, phish, scrape, or to undermine or circumvent the security measures of the Site.

ARTICLE 13 – ORDER

  1. The User may browse the Site without any obligation to purchase. To place an Order, the Customer selects Products and adds them to their shopping cart. It is not necessary to create an account to place an Order.

  2. Once the Order is finalized, payment is confirmed by MyJely via email to the address provided by the Customer. The Order is finalized once full payment has been received by MyJely.

  3. The Customer acknowledges and accepts that a finalized Order that is in the process of being shipped cannot be cancelled.

  4. Upon Order finalization, MyJely will send a tracking number to the Customer's email address. The Customer is responsible for retaining this tracking number and checking spam filters if it is not received. MyJely cannot be held responsible for the Customer's failure to locate the tracking number.

  5. Once the Order is finalized, MyJely will dispatch the Products within 3 to 5 business days. This period may be extended due to a force majeure event or any other event not reasonably within MyJely's exclusive control.

  6. MyJely will honor validated Orders within the limits of available stock. MyJely reserves the right to refuse any Order in the event of a stock shortage or force majeure event.

  7. MyJely reserves the right, at its sole discretion, to limit or cancel quantities purchased per person, per household, or per Order, including Orders placed under the same customer account, credit card, or billing/shipping address.

  8. In the event of modification or cancellation of an Order, MyJely will notify the Customer by email or other contact information provided.

ARTICLE 14 – DELIVERY

  1. Delivery costs are specified on the Site and are displayed to the Customer at checkout. The Customer must accept these costs when confirming the Order.

  2. Delivery costs depend on the territory of the shipping address provided by the Customer.

  3. MyJely uses external carriers and logistics providers for the delivery of Products. MyJely is dependent on these third-party providers and is not responsible for delays or failures attributable to them. The Customer acknowledges and accepts that delivery times indicated on the Site may be extended due to these third-party service providers.

  4. The Customer acknowledges and accepts that a delivery confirmation from the carrier, linked to the tracking number provided to the Customer, constitutes proof of delivery between the parties. In the event of a claimed non-delivery, the Customer is required to provide supporting evidence as soon as possible to MyJely's customer service team.

  5. Delivery of Products generally takes place within 5 to 15 business days after dispatch. On average, Products are delivered within 7 to 10 business days after dispatch.

  6. The Customer acknowledges and accepts that a temporary stock shortage may extend dispatch times by 1 to 6 additional business days.

ARTICLE 15 – RETURNS, REFUNDS AND FINAL SALE POLICY

  1. All sales are final. MyJely does not accept returns and does not issue refunds once an Order has been placed and payment has been processed. By completing a purchase on the Site, the Customer expressly acknowledges and agrees to this policy.

  2. No returns. Due to the hygienic nature of the Products — socks worn directly against the skin — all sales are considered final upon shipment. MyJely does not accept returns under any circumstances, including but not limited to: change of mind, dissatisfaction with the product, or any other reason initiated by the Customer.

  3. No refunds. MyJely does not issue refunds once an Order has been placed and payment has been processed, regardless of the reason. This includes claims of non-receipt, shipping delays, or errors made by the Customer at checkout.

  4. Lost or undelivered orders. If tracking shows no movement for more than 15 business days after the dispatch date, the Customer may contact MyJely's customer support team. MyJely will investigate with the carrier and, at its sole discretion, determine an appropriate resolution. MyJely is not responsible for orders confirmed as delivered by the carrier.

  5. Chargebacks and payment disputes. MyJely contests all chargebacks and payment disputes that are inconsistent with this policy. In doing so, MyJely submits full documentation including order confirmation, shipping records, delivery tracking, and all prior customer communications. Customers who file unjustified disputes may be permanently restricted from placing future orders on MyJely.com.

ARTICLE 16 – LIMITATION OF LIABILITY

  1. MyJely shall not be held liable for any failure to perform its obligations where such failure is attributable to the actions of a third party, to the fault of the Customer, to a force majeure event, or to any other event not reasonably within MyJely's exclusive control.

  2. MyJely declines all liability for damages of any nature resulting from the use of the Site or the ordering of Products, including damages resulting from service interruptions, security breaches, errors on the Site, or any reputational damage to the User.

  3. The User's use of the Site, or inability to use it, is at the User's sole risk. The Site and all Products and services are provided "as is" and "as available."

  4. In no case shall MyJely, its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for any injury, loss, claim, or damages of any kind — including lost profits, lost revenue, lost savings, loss of data, or replacement costs — arising from the use of the Site or any Product, whether based in contract, tort (including negligence), strict liability, or otherwise. To the extent permitted under applicable state law, MyJely's total liability to any Customer shall not exceed the amount paid by that Customer for the Order giving rise to the claim.

ARTICLE 17 – INDEMNIFICATION

The User agrees to indemnify, defend and hold harmless MyJely and its parent company, subsidiaries, affiliates, partners, officers, agents, directors, licensors, contractors, service providers, subcontractors, suppliers and employees from any claim or demand, including reasonable attorneys' fees, arising from the User's violation of these GTC or the documents they reference.

ARTICLE 18 – SEVERABILITY

If any provision of these GTC is found to be unlawful, void or unenforceable, that provision shall be deemed severed from the remaining provisions, which shall remain valid and enforceable.

ARTICLE 19 – TERMINATION

The obligations and liabilities incurred by the parties prior to the termination date of these GTC shall survive termination for all purposes.

These GTC are effective unless and until terminated. MyJely may terminate this agreement at any time and without notice if the User fails to comply with any term of these GTC, in which case the User will remain liable for all amounts due up to and including the date of termination.

ARTICLE 20 – NON-WAIVER

The failure of MyJely to exercise any right granted by these GTC shall not be interpreted as a waiver of that right. Any ambiguity in the interpretation of these GTC shall not be construed against the drafting party.

ARTICLE 21 – APPLICABLE LAW AND DISPUTE RESOLUTION

These GTC, as well as any separate agreements through which MyJely provides services, shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions. The User expressly acknowledges and accepts this choice of law.

Any dispute arising out of or in connection with these GTC that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of the State of Wyoming.
